If any provision of these Terms is determined by a court to be unlawful, void or for any reason unenforceable, that provision is deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.

1. About these Terms and Conditions

You, as a visitor and/or user of our website, agree to these Terms and Conditions, and your access and/or use of our website, products, and/or services or via materials (collectively “Products”) requested through email, Instagram or any other third party communications through a platform with Amanda Gabel Consulting constitutes your voluntary acceptance to be bound by these Terms and Conditions, whether or not you have read them. This website and any products and/or services offered herein are not intended for use by persons under the age of 18. If you are under the age of 18, you may not use or view this website.

You understand and agree that these Products are intended to provide information only. 4. Digital products and delivery

Amanda Gabel Consulting provides various template and/or forms for sales on the website. Amanda Gabel Consulting grants you a limited, personal, non-exclusive, non-transferable license to use our templates and/or forms for your own personal use. You acknowledge and agree that you have no right to modify, edit, copy, reproduce, create derivative works of, reverse engineer, alter, enhance or in any way exploit any of the templates and/or forms in any manner, except for modifications in filling out the templates and/or forms for your authorized use.

All files will be digital files. After receipt of payment you will receive access to your download on the confirmation page and by email. If you do not receive it within one hour, please check your spam folder and then contact us at fromamanda@amandagabelconsulting.com.

Each purchase includes two downloads, and your email address and purchase date may appear on each page of the PDF. If you have trouble downloading, contact us and we will help. Please save your files to your own device as soon as you receive them.

5. Pricing, Payment and Refunds

All payments for products or services are to be made in full and are in U.S. dollars plus applicable tax. Payments may be made by you or a third-party acting on your behalf. We may change prices at any time, but a price change will not affect an order you have already placed.

All of the personal information that you provide as part of the purchase process for any product or service on our website may be collected by both us and our third-party payment processing providers. This includes, but is not limited to: name, email address, billing information, and credit/debit card number. Please read our Privacy Policy with respect to how we handle your personal information.

Our third-party payment processing providers may have privacy policies and terms and conditions that differ from ours. We have no liability or responsibility for the independent policies of our third-party payment processing providers. You are encouraged to read the independent policies contained on the third-party payment processing providers’ websites.

You understand and release us from liability for any damage or loss caused by your purchase from our website or by your dealings with our third-party payment processing providers.

Due to the extensive time and effort that goes into the services or products, there is no refund policy whatsoever for any and all of the Amanda Gabel Consulting products or services. Any exception is made at our sole discretion. If there’s a problem with your order, please contact us at fromamanda@amandagabelconsulting.com before disputing the charge with your bank or card company, and we’ll work with you to resolve it.

6. Intellectual Property and Ownership

The materials contained on our website, including, but not limited to, products, programs, documents, videos, photos, graphics, designs, and other files, are the proprietary property of Amanda Gabel Consulting and are protected by United States intellectual property rights. Subject to Section 4 (as described under Digital Products and Delivery), you may electronically copy and print portions of Amanda Gabel Consulting. You may not share the cost of any product or the product itself with any third party.

You agree that you will not use the contents of and materials in any products you purchase from Amanda Gabel Consulting to create a competing product. Any other use of the materials in Amanda Gabel Consulting, any product you purchase, and/or materials requested via email, including, but not limited to, for any commercial use, copying, republication, distribution, transfer, performance, display, or reproduction other than as indicated above, is strictly prohibited.

You agree that you will not use our website, products, documents, videos, photos, graphics, designs, and other files in any manner that constitutes an infringement of our intellectual property rights. We reserve all rights and remedies available at law or in equity.

7. Testimonials and Endorsements

Our website may feature testimonials. They are examples from past clients. While these testimonials are provided by clients or customers sharing their opinions about our website, products and/or services, they are not a guarantee that all clients or customers will have the same, similar, or better experience.

YOU AGREE THAT AMANDA GABEL CONSULTING IS NOT LIABLE TO YOU OR OTHERS IN ANY WAY FOR DAMAGES OF ANY KIND ARISING FROM THE USE OF OUR WEBSITE OR ITS CONTENT, OR PRODUCTS AND/OR SERVICES PURCHASED THEREFROM, OR VIA MATERIALS REQUESTED THROUGH EMAIL, INCLUDING, BUT NOT LIMITED TO, DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, CONSEQUENTIAL, AND/OR SPECIAL DAMAGES.

YOU AGREE THAT AMANDA GABEL CONSULTING IS NOT LIABLE FOR ANY LOSS INCURRED BY YOU, YOUR FAMILY, OR YOUR BUSINESS, INCLUDING, BUT NOT LIMITED TO, LOSS OF CLIENTS, LOSS OF GOODWILL, LOSS OF INCOME OR REVENUE, LOSS OF ANTICIPATED INCOME, LOSS OF SALES, LOSS OF DATA, COMPUTER FAILURE, COMPUTER VIRUS OBTAINED BY USE OF OUR WEBSITE OR ITS CONTENT, OR PRODUCTS AND/OR SERVICES PURCHASED THEREFROM, OR VIA MATERIALS REQUESTED THROUGH EMAIL, OR ANY OTHER SIMILAR ISSUE, OR ANY OTHER LOSS OR DAMAGE OF ANY KIND.

AMANDA GABEL CONSULTING’S CUMULATIVE LIABILITY FOR ANY LOSS OR DAMAGE TO YOU OR OTHERS ARISING OUT OF OR RELATING TO THESE TERMS AND CONDITIONS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU FOR SUCH PRODUCT.

11. Indemnification

You agree to indemnify, defend, and hold harmless Amanda Gabel Consulting and any affiliates, agents, or other party associated with Amanda Gabel Consulting from any cause of action, lawsuits, judgments, including attorney’s fees and costs, arising from your use of our website or its content, or products and/or services purchased therefrom, or via materials requested through email, as well as any third party claims of any kind arising from your actions in relation to our website. Should we be required to defend ourselves in any action directly or indirectly involving you, you agree to provide any documents, testimony, evidence, or other information we deem reasonable for use free of charge.

12. Arbitration and Jurisdiction

To the extent that you attempt to assert any such claim, you hereby expressly agree to present such claim only through binding arbitration to occur in Nassau County, New York. You further agree to and do hereby waive any right to class arbitration and agree, instead, to conduct an arbitration related solely to any individual claims you and/or any entity related to you asserts against us. To the fullest extent permissible by law, you further agree that you shall be responsible for all costs associated with initiating the arbitration under AAA/JAMS consumer rules, any reasonable attorney fees, and for the administration of the arbitration.

Any dispute not subject to arbitration shall be brought in the appropriate state or federal court located in Nassau County, New York, and we and you each irrevocably consent to the exclusive jurisdiction and venue of the state or federal courts in Nassau County, New York for the adjudication of all non-arbitral claims, and the laws of the State of New York, without regard to conflict of law principles, shall apply.

We reserve the right to change, modify, or update these Terms and Conditions at any time. The date that these Terms and Conditions was last modified can be found at the end of these Terms and Conditions. The modified Terms and Conditions will become effective and govern your use of this website, services and/or products. By continuing to use this website, you agree to be bound by the most updated version of these Terms and Conditions, whether or not you have read them.
